Welcome to BV Mall. These Terms of Service ("Terms") govern your access to and use of the BV Mall website (bvmall.global) and all related services (collectively, the "Service"), operated by BV MALL Global ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

1. Eligibility

• You must be at least 18 years of age (or the age of majority in your jurisdiction) to use this Service.
• By using the Service, you represent and warrant that you meet these eligibility requirements.
• If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

• Access to certain features requires a registered account through the Blue Vitae™ (BV) system.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Products and Orders

3.1 Product Descriptions

We strive to provide accurate product descriptions, images, and pricing. However, we do not warrant that product descriptions, pricing, or other content is accurate, complete, or error-free. We reserve the right to correct errors and update information at any time without notice.

3.2 Pricing and Availability

• All prices are listed in U.S. Dollars (USD) unless otherwise stated.
• Prices do not include applicable sales tax or shipping fees, which will be calculated at checkout.
• We reserve the right to change prices at any time without prior notice.
• Product availability is subject to change without notice.

3.3 Order Acceptance

Placing an order constitutes an offer to purchase. We reserve the right to refuse or cancel any order for reasons including but not limited to: product availability, pricing errors, suspected fraud, or violation of these Terms. If we cancel an order after payment, a full refund will be issued.

3.4 Sales Tax

Applicable state and local sales tax will be calculated and added to your order total based on your shipping address, in compliance with state tax laws including California Revenue and Taxation Code.

4. Health & Dietary Supplement Disclaimers

• Dietary supplements sold on this platform are regulated under the Dietary Supplement Health and Education Act of 1994 (DSHEA) and are not subject to pre-market approval by the FDA.
• Product information is provided for educational purposes only and does not constitute medical advice.
• Individual results may vary. We make no guarantees regarding the effectiveness of any product.
• California Proposition 65: Some products may contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. Products requiring Prop 65 warnings will be labeled accordingly.

5. Payment Terms

• We accept payment via credit cards (Visa, Mastercard, American Express, Discover), PayPal, and other methods as displayed at checkout.
• All payments are processed through PCI-DSS compliant third-party processors.
• You authorize us to charge the designated payment method for your order total including products, taxes, and shipping.
• Orders are not shipped until payment is confirmed.

6. Shipping and Delivery

• Shipping timelines are estimates and not guarantees. See our Shipping Policy for details.
• Risk of loss and title for products pass to you upon delivery to the carrier.
• We are not responsible for delays caused by carriers, customs, weather, or other circumstances beyond our control.
• Orders $100+ qualify for free standard shipping within the continental United States.

7. Returns and Refunds

Please see our Return & Exchange Policy for complete details. Key points:

• Items may be returned within 30 days of delivery in original, unopened condition.
• Opened or used dietary supplements are not eligible for return except in cases of defect.
• Refunds are processed to the original payment method within 5-10 business days.
• PV (Point Value) credits associated with returned orders will be deducted accordingly.

8. PV Rewards Program

• Eligible purchases earn PV (Point Value) credits as described on each product listing.
• PV credits are subject to the rules of the Blue Vitae™ reward system.
• We reserve the right to modify, suspend, or terminate the PV program at any time.
• PV credits have no cash value and are non-transferable except as permitted by the BV system.
• Fraudulent attempts to earn PV (including self-referral schemes) may result in account termination and forfeiture of all accrued PV.

9. Third-Party Merchants

• BV Mall operates as a marketplace that includes products from third-party merchants.
• Third-party merchants are responsible for the accuracy of their product listings and fulfillment of orders.
• While we vet merchants and monitor quality, we do not guarantee the products or services of third-party merchants.
• Disputes with third-party merchants should first be directed to our customer support team.

10. Intellectual Property

• All content on BV Mall, including text, graphics, logos, images, and software, is the property of BV MALL Global or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
• You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.
• "BV Mall," "Blue Vitae," and associated logos are trademarks of BV MALL Global.

11. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Engage in fraudulent transactions or provide false information
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Attempt to gain unauthorized access to other accounts or systems
• Use automated scripts, bots, or scrapers to access the Service
• Post false, misleading, or defamatory product reviews
• Resell products purchased on BV Mall without authorization

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• IN NO EVENT SHALL BV GLOBAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
• SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless BV MALL Global and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Dispute Resolution and Arbitration

14.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Los Angeles County, California or via telephone/videoconference at your election.

14.2 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

14.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction. Claims within small claims court jurisdiction may be brought in small claims court.

14.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@bvmall.global within 30 days of first accepting these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

16. Electronic Communications

By using the Service, you consent to receive electronic communications from us (emails, push notifications, SMS) regarding your account, orders, and promotional offers. You may opt out of marketing communications at any time. Transactional communications (order confirmations, shipping updates) cannot be opted out of while you maintain an active account.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and BV MALL Global regarding the Service and supersede all prior agreements and understandings.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
